AdMesh Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AdMesh platform and services. By using AdMesh, you agree to these Terms. If you do not agree to these Terms, you may not use our services.

1. Service Description

AdMesh is an AI-native, agentic advertising infrastructure platform. AdMesh provides infrastructure and protocols for autonomous brand agents to participate in real-time advertising auctions based on user intent detected in AI conversations.

AdMesh is infrastructure, not a media seller. Advertising is executed by autonomous brand agents that act within user-configured constraints. All bidding, spend, and outcomes are driven by real-time auctions based on user intent.

AdMesh does not provide performance guarantees. No guarantees are provided for exposures, clicks, conversions, or any other advertising outcomes. Auction participation and outcomes depend on real-time market conditions, user intent, and agent configuration.

2. Account Registration

To use certain features of AdMesh, you may need to create an account. You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activities that occur under your account.

3. User Conduct

When using AdMesh, you agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Attempt to gain unauthorized access to any part of the service
  • Use automated methods to access or use the service without our permission
  • Engage in fraudulent activities or manipulate our tracking systems
  • Interfere with the proper functioning of the service

4. Intellectual Property

All content, features, and functionality of AdMesh, including but not limited to text, graphics, logos, and code, are owned by AdMesh and are protected by copyright, trademark, and other intellectual property laws.

5. Payments, Billing, and Refunds

5.1 Prepaid Account Balance

AdMesh uses a prepaid account balance model. Advertisers, agencies, and partners must pre-fund their accounts by adding funds to a prepaid account balance to access agentic advertising services and related platform features.

When you add funds through the AdMesh billing interface, you are charged exactly the amount you authorize. The full amount you authorize will be credited to your prepaid account balance and made available for use on the platform.

5.2 Payment Processing Fees

During beta and pilot phases, AdMesh may absorb payment processing and currency conversion fees charged by third-party payment providers. These fees may not be itemized separately and are subject to change in the future.

AdMesh does not guarantee that payment processing fees will always be absorbed and reserves the right to modify its billing and fee structure with reasonable notice.

5.3 Non-Refundable Prepaid Balances

All funds added to your prepaid account balance are non-refundable once credited, except where required by law or in cases of verified billing errors attributable to AdMesh.

Unused prepaid balances:

  • Do not expire
  • May be used at any time for eligible AdMesh services
  • Are not redeemable for cash or refunds to the original payment method

5.4 Refund Exceptions

Refunds may be issued solely at AdMesh's discretion in limited circumstances, including:

  • Duplicate charges
  • Billing errors caused by the platform
  • Unauthorized transactions confirmed after investigation

Third-party payment processing fees are non-refundable and may be deducted from any discretionary refund.

5.5 Chargebacks and Disputes

If a payment dispute, chargeback, fraud investigation, or compliance review is initiated:

  • Your prepaid account balance may be suspended or adjusted
  • Access to AdMesh billing and spending features may be restricted during investigation
  • AdMesh may suspend billing or spending activities pending resolution
  • You remain responsible for any fees, penalties, or losses incurred

AdMesh reserves the right to recover losses resulting from fraudulent or abusive behavior.

6. Third-Party Links and Services

AdMesh may contain links to third-party websites or services. We are not responsible for the content or practices of these third parties. Your interactions with these third parties are solely between you and them.

7. Disclaimer of Warranties

AdMesh is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, secure, or error-free.

8. Limitation of Liability

To the maximum extent permitted by law, AdMesh shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service.

9. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you through the service or by other means. Your continued use of AdMesh after such changes constitutes your acceptance of the new Terms.

10. Termination

We may terminate or suspend your access to AdMesh at any time, without prior notice, for any reason, including if you violate these Terms.

Upon termination, sections relating to billing, prepaid account balances, liability limitations, intellectual property, and dispute resolution shall survive and continue to apply.

11. Responsibility and Risk Allocation

11.1 Agency Responsibility

Agencies are responsible for and bind the advertisers they manage. When an agency creates or manages brand agents on behalf of advertisers, the agency assumes full responsibility for all actions, spend, and outcomes related to those brand agents.

11.2 User Responsibility

Users are responsible for:

  • Agent configuration, including brand information, messaging guidelines, and auction parameters
  • Setting and maintaining budget limits and spending controls
  • All spend incurred by autonomous agents operating within configured parameters
  • Monitoring agent activity and adjusting settings as needed

AdMesh is not liable for overspend caused by misconfiguration, delayed updates to budget limits or auction settings, or any other user error. Budget limits and configuration changes may take time to propagate through the system.

11.3 No Partnership or Fiduciary Relationship

No partnership, fiduciary, or agency relationship is created between you and AdMesh. AdMesh provides infrastructure and protocols only. You operate brand agents at your own risk and expense.

12. Taxes

You are responsible for determining and paying all applicable taxes (including sales, use, value-added, or similar taxes) arising from your use of AdMesh services, except for AdMesh's income taxes. AdMesh may collect and remit taxes where required by law, but you remain responsible for all other tax obligations.

13. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which AdMesh is headquartered, without regard to its conflict of law provisions.

15. PII Sanitization Requirements

AdMesh provides built-in PII (Personally Identifiable Information) sanitization tools in our SDKs. We strongly recommend that all developers use these tools to automatically remove sensitive information before sending queries to our API.

While not mandatory, using our PII sanitization functionality helps ensure compliance with privacy regulations and protects your users' sensitive information. The sanitization process happens locally and does not transmit PII to our servers.

14. Agent Data Responsibility

If you use AdMesh as an agent or integrator, you are solely responsible for the content you send to our recommendation or attribution endpoints. By using our API, you represent and warrant that all queries or contextual inputs are user-initiated and do not include sensitive or confidential content without proper consent.

AdMesh provides optional PII (Personally Identifiable Information) sanitization tools in our SDKs. Integrators are responsible for ensuring no sensitive data is sent without consent. AdMesh assumes intent is user-initiated and does not inspect passive content.

While not mandatory, using our PII sanitization functionality helps ensure compliance with privacy regulations and protects your users' sensitive information. The sanitization process happens locally and does not transmit PII to our servers.

17. Brand Agents and Agentic Advertising

When you create a brand agent through AdMesh, you grant the agent authority to represent your brand in real-time advertising auctions. The brand agent will make autonomous bidding decisions based on:

  • User intent and context detected in AI conversations
  • Your configured brand guidelines, messaging preferences, and compliance requirements
  • Your auction settings, including budget limits, bidding strategies, and targeting parameters
  • Relevance scoring and trust metrics within the Agentic Intent Protocol (AIP)

You are responsible for configuring your brand agent appropriately, including setting accurate brand information, product details, messaging guidelines, and auction parameters. The brand agent will operate within these constraints and your specified budget limits.

AdMesh uses the Agentic Intent Protocol (AIP) to ensure transparent, auditable, and fair auction participation. All agent actions, bids, and outcomes are logged and can be verified cryptographically. You retain full control over your brand agent's configuration and can modify settings at any time through the AdMesh dashboard.
