AI platform & publisher terms

The terms for bringing AdMesh assistants, sponsored recommendations, and monetization to your AI platform or publishing property.

1. Scope & Relationship to Other Terms

These AI Platform & Publisher Terms ("Publisher Terms") govern the use of AdMesh by operators of AI platforms, chatbots, assistants, search experiences, websites, applications, and other approved publishing properties (collectively, "Publishers," "you," or "your"). They apply whether you integrate directly with AdMesh, Inc. ("AdMesh," "we," or "us") or participate through an authorized channel partner.

These Publisher Terms supplement the AdMesh Terms of Service. Our Privacy Policy describes our data practices. Where we process personal information on your behalf, the applicable Data Processing Addendum ("DPA") governs that processing and controls in the event of a conflict concerning Customer Personal Data. A separate agreement expressly governing a particular subject controls over these Publisher Terms for that subject. Otherwise, these Publisher Terms control for publisher-specific matters, and the Terms of Service govern other matters.

By accepting these Publisher Terms or using the applicable services after receiving notice of them, to the extent permitted by law, you agree to them on behalf of the entity operating your properties. Contract acceptance does not replace any separate consent required for personal information processing.

2. Eligibility, Authority & Accounts

You must have the legal capacity and authority to bind your organization and own, operate, or have permission to integrate and monetize each property you register. You must have the rights needed to submit content and data, display sponsored experiences, and authorize the processing described in your applicable agreements.

Provide accurate account, property, business, tax, and payment information, and keep it current. Protect API keys and other credentials, restrict access to authorized people and systems, and promptly report suspected compromise. A channel partner must have your authorization to manage your property; its access does not transfer ownership of your content or business.

AdMesh may review properties and integrations for authorization, technical compatibility, quality, and policy compliance. Approval of one property does not approve every property or placement associated with your account.

3. Services & Integration Options

AdMesh provides conversational advertising infrastructure. Depending on your approved integration and configuration, services may include:

  • Publisher Assistants: publisher-owned reader experiences that use authorized publisher content to answer questions and surface relevant recommendations.
  • AI platform integrations: APIs, SDKs, and supported tools for requesting sponsored recommendations within your own assistant, search, or application experience.
  • Brand Agents: advertiser-configured agents that submit eligible offers for sponsored opportunities, subject to relevance, targeting, budgets, and other applicable controls.
  • Routing and measurement: eligibility evaluation, offer selection, event attribution, reporting, and available publisher controls.

A decision request is an opportunity to evaluate available offers; it is not a promise to return an ad or generate revenue. AdMesh does not guarantee demand, fill rate, delivery volume, earnings, or performance. Availability depends on the integration, configuration, approved properties, and applicable agreement. Preview features may change or be discontinued.

4. Integration & Publisher Controls

Implement and maintain integrations in accordance with the applicable documentation, including authentication, consent, rendering, and measurement requirements. Keep secret credentials on systems you control and use only credentials intended for public exposure in client-side code. Test integrations before enabling them for users and maintain supported versions.

You control your properties and remain responsible for your assistant instructions, content sources, presentation, access permissions, and settings you configure. Apply the placement, category, advertiser, and other controls available to your integration as appropriate for your audience. Do not represent an unavailable control as active.

Do not alter recommendation identifiers, attribution links, or required event fields in a way that misrepresents delivery or breaks measurement. Report only events that actually occur and follow the documented rules for test traffic, exposure qualification, and event deduplication.

5. Publisher Content & Indexing

You and your licensors retain ownership of the content, trademarks, and other materials you provide. You grant AdMesh a non-exclusive license to access, crawl, copy, index, retrieve, and process authorized content, and to display relevant excerpts, citations, and your property branding, only as reasonably needed to provide the services you enable and fulfill the applicable agreement. This includes using service providers subject to appropriate contractual obligations.

Submit only sources you have permission to use. Identifying a source as publicly accessible does not establish that you hold all required rights. Do not submit restricted, paywalled, licensed, confidential, or personal material unless your authorization covers its intended processing and presentation. Notify AdMesh when a source must be corrected, restricted, or removed.

This operational license does not transfer ownership of your content or, by itself, authorize unrestricted training of general-purpose models on your content or users' conversations. Any additional use must have an appropriate legal basis and comply with the applicable agreement and DPA. Return, deletion, and any legally required retention following termination remain subject to those agreements.

6. AI Experiences & Editorial Responsibility

AI-generated answers, summaries, recommendations, and citations may be inaccurate, incomplete, or outdated. You are responsible for reviewing the experience you deploy, configuring appropriate safeguards, and explaining to users when they are interacting with an AI assistant. Do not present generated material as verified human editorial content or qualified professional advice without appropriate review.

Your editorial content and your own assistant experience remain under your control. A sponsored recommendation is a commercial placement, not a statement that an advertiser controls your editorial conclusions or that AdMesh endorses its products. Advertiser claims and third-party destinations remain subject to the relevant provider's terms and responsibilities.

Do not use these services to make unlawful discriminatory decisions, manipulate users through deceptive claims, or provide an autonomous substitute for qualified judgment in situations requiring professional oversight. Maintain an appropriate way for users to report incorrect, harmful, or misleading content.

7. Sponsorship, Branding & Disclosures

Clearly and prominently identify sponsored recommendations as advertising when they appear. Use the required "Sponsored," "Ad," or other approved disclosure appropriate to the format, close to the relevant placement and before a user interacts with it. Preserve applicable disclosures in expanded views, generated responses, and downstream presentations you control.

Do not hide sponsorship inside a tooltip, an unrelated policy page, or a general assistant disclaimer. Do not describe a paid recommendation as independent editorial advice, an unpaid endorsement, or a neutral ranking. Keep any required advertiser identity, AdMesh attribution, and branding visible and legible.

You are responsible for disclosures and consumer protection requirements applicable to your property, audience, and presentation. AdMesh's supplied labels support these responsibilities; they do not replace your obligation to evaluate your overall experience under applicable law.

8. Data, Consent & User Privacy

Submit only the query and context reasonably necessary for the requested feature. Provide required privacy notices, establish a lawful basis for collection and disclosure, obtain consent where required, and implement applicable withdrawal, opt-out, and preference-signal requirements before the relevant processing occurs. Do not transmit passwords, API keys, authentication tokens, payment-card details, or other unnecessary confidential information in conversational content.

Do not submit special-category or other highly sensitive personal information unless AdMesh has expressly agreed in writing and the processing is permitted by law. Do not use sensitive personal information or information about children for unlawful advertising or profiling. Tell AdMesh if a proposed property or integration is directed to children so its eligibility and any additional requirements can be assessed before activation.

AdMesh may process submitted context through service providers supporting intent analysis, retrieval, and content generation. Automated redaction before retention of supported query copies is separate from initial service processing; the original query may be processed or sent to a provider before that redaction. Redaction is a best-effort safeguard and does not guarantee anonymity. Minimize data before transmission and consult the query processing disclosures.

The applicable agreement and DPA determine each party's processing role, instructions, security obligations, assistance with rights requests, and retention requirements. Neither these Publisher Terms nor use of an SDK removes either party's obligations under applicable privacy law.

9. Measurement, Attribution & Invalid Activity

Where enabled, measurement may include qualified exposures, clicks, conversions, and other contractually defined events. CPX refers to a cost per qualified exposure; CPM expresses a price per thousand exposures. Sending a request, returning a recommendation, or generating an assistant answer does not by itself establish a billable exposure or publisher earning.

Reported metrics and estimated earnings may be provisional until event qualification, attribution, fraud checks, reconciliation, and the applicable settlement conditions are complete. The applicable commercial agreement governs the measurement basis and amounts payable. AdMesh may correct duplicate, invalid, reversed, or otherwise ineligible events in accordance with that agreement and applicable law.

Do not generate artificial traffic, encourage deceptive interactions, hide placements, replay events, or manipulate attribution. Clearly identify test traffic using supported mechanisms. Raise reporting discrepancies promptly with relevant property identifiers, event references, and dates, without including unnecessary user information.

10. Commercial Terms & Payments

Direct relationships. Revenue shares, service fees, payment eligibility, payout timing, thresholds, currency, tax treatment, and any other commercial commitments are set out in your accepted commercial terms or separate agreement. These Publisher Terms do not establish a universal revenue share, minimum payment, or guaranteed earnings.

Channel partner relationships. If a channel partner manages your participation, its compensation commitments to you are governed by your agreement with that partner. AdMesh reporting or settlement to the partner does not, by itself, make AdMesh responsible for the partner's separate payment promises. Any direct payment obligation by AdMesh must be expressly agreed in your applicable agreement.

Complete required verification, payment, and tax onboarding before requesting payouts. Estimated dashboard revenue is not a guarantee of an immediately withdrawable balance. Adjustments, holds, offsets, refunds, and disputed amounts are governed by the applicable agreement and law. Ending an integration does not eliminate valid amounts already due or allow a party to disregard accrued obligations.

11. Acceptable Use & Security

In addition to the Terms of Service, you must not:

  • Integrate on unauthorized properties or submit content that infringes intellectual property, privacy, or confidentiality rights.
  • Remove disclosures, fabricate user intent, impersonate an advertiser, or misrepresent the source or nature of a recommendation.
  • Bypass authentication, rate limits, budget controls, consent requirements, or other technical safeguards.
  • Submit malicious content or instructions designed to extract confidential information, compromise an assistant, or interfere with offer selection or measurement.
  • Use the services for unlawful, deceptive, discriminatory, or fraudulent activity, or facilitate prohibited activity on your properties.

Promptly notify AdMesh of suspected credential compromise, data exposure, or material integration abuse, take reasonable containment steps, and cooperate in remediation. Security incident obligations for Customer Personal Data remain governed by the applicable DPA and law.

12. Intellectual Property & Confidentiality

AdMesh and its licensors retain ownership of the platform, software, documentation, and AdMesh marks. Use them only as authorized by the applicable agreement and documentation. Nothing in these Publisher Terms grants ownership of the other party's intellectual property.

Protect non-public credentials, account-level commercial terms, security information, and other information identified as confidential or reasonably understood to be confidential. Use that information only for the applicable services and disclose it only to authorized recipients with appropriate confidentiality obligations, or as required by law. A separate confidentiality agreement controls where it applies.

13. Suspension & Termination

You may stop using the services and remove your integration, subject to any obligations in your applicable agreement. AdMesh may restrict or suspend affected services for material violations, invalid traffic, unauthorized properties, legal requirements, or material security or privacy risks. Urgent protective action may occur without prior notice where reasonably necessary and permitted by law. Other termination and notice requirements follow the Terms of Service and any controlling agreement.

When access ends, stop using the affected credentials, integrations, and marks. Accrued payment obligations, applicable reconciliation, confidentiality, intellectual property protections, and provisions intended to survive continue as provided by the applicable agreement. Personal information return, deletion, and lawful retention remain subject to the DPA and applicable law.

14. Warranties, Liability & Claims

The warranty disclaimers, limitations of liability, and indemnification provisions in Sections 7, 8, and 16 of the Terms of Service apply to your use of the publisher services, except as expressly provided in a controlling agreement. No forecast, example, reporting estimate, or AI-generated output creates a guarantee of revenue, accuracy, or results.

Nothing in these Publisher Terms excludes or limits obligations or liability that cannot lawfully be excluded or limited, or reduces AdMesh's obligations under an applicable DPA. Each party remains responsible for its own conduct as provided by applicable law and the governing agreements.

15. Governing Law & Disputes

The governing law and jurisdiction provisions in Section 13 of the Terms of Service apply, including Delaware law and the applicable Delaware courts, unless a controlling written agreement or mandatory law provides otherwise. You may contact AdMesh to discuss a concern before commencing proceedings; doing so does not waive mandatory rights or change applicable legal deadlines.

16. Updates & Contact

This document identifies version 1.1, updated October 18, 2026. It applies to new acceptances and, for existing relationships, only after the notice, effective-date, and acceptance requirements of the applicable agreement and law have been satisfied. It does not retroactively change previously accrued commercial obligations.

Material revisions are subject to reasonable advance notice as described in the Terms of Service, except where earlier action is necessary to comply with law or address urgent security risks. Where express acceptance is required, the revised terms apply only after that acceptance. If you do not agree, stop using the affected services before the revisions take effect, subject to your existing obligations.
